Can a resident Indian own 100% of a company abroad?

Often, yes — subject to the destination country's own ownership rules and India's overseas investment framework. Resident individuals invest under the Liberalised Remittance Scheme (up to USD 250,000 per financial year) and must meet the Overseas Investment Rules, 2022 — for example, the foreign company must be an operating entity, not engaged in financial services and without subsidiaries controlled by the individual.

Do I need to report my foreign company in India?

Yes. The investment is reported to your authorised dealer bank (Form FC, which generates a Unique Identification Number), an Annual Performance Report is generally due by 31 December each year, and the shareholding must be disclosed in Schedule FA of your income tax return if you are resident and ordinarily resident.

Will my foreign company's profits be taxed in India?

A foreign company is generally taxed in India only if its place of effective management is in India, or on income connected with India. Dividends you receive from it are taxable in your hands in India, with credit for eligible foreign tax. Where key management decisions are actually taken matters, so we plan governance with you from day one.

Which jurisdiction is right for me?

It depends on where your customers are, whether you need residence visas or a local bank account, and what Indian rules apply to you. As a starting point: the UAE for trading, services and relocation; Saudi Arabia for projects and the Saudi market; Hong Kong for Asia trade; a US LLC for US clients and platforms. Do you help NRIs as well?

Yes. Non-resident Indians are generally outside the Overseas Investment Rules for investments made from their foreign funds, but the residence test under FEMA differs from the one under the Income-tax Act, so we confirm your status before advising.
